These Terms of Service ("Terms") govern your use of the NotiFly platform ("Service") operated by Datamatics Software Solutions Private Limited ("Datamatics", "we", "us"). By accessing or using NotiFly, you agree to be bound by these Terms.
1. Service Description
NotiFly is a WhatsApp Business messaging platform that enables businesses ("Clients") to send WhatsApp messages to their customers ("End Users") through the official Meta WhatsApp Business API. The Service includes:
- A web-based dashboard for message management and reporting
- A REST API for programmatic message sending
- Message delivery tracking and analytics
- A prepaid credit system for billing
2. Account Registration
- Accounts are created by Datamatics after onboarding verification
- You must provide accurate and complete business information
- You are responsible for maintaining the confidentiality of your login credentials and API keys
- You must notify us immediately if you suspect unauthorized access to your account
- One account per WhatsApp Business Account; duplicate accounts are not permitted
3. WhatsApp Business Policy Compliance
Critical: You must comply with Meta's WhatsApp Business Policy and WhatsApp Commerce Policy at all times. Violations may result in immediate account suspension.
As a client, you are responsible for:
3.1 Opt-In Requirements
- Obtaining explicit opt-in consent from end users before sending them WhatsApp messages
- Clearly explaining what types of messages the end user will receive
- Maintaining records of opt-in consent that can be provided upon request
- Opt-in must be active (not pre-checked boxes) and specific to WhatsApp messaging
3.2 Opt-Out Handling
- You must honor opt-out requests within 24 hours
- End users who reply "STOP" must be removed from your messaging lists immediately
- You must provide a clear way for end users to opt out in your initial message or business communication
3.3 Template Messages
- All template messages must be pre-approved by Meta before sending
- Templates must accurately represent the content being sent
- You must not use templates for purposes other than their approved category
- Utility templates: transactional updates, account notifications, order confirmations
- Authentication templates: OTPs and verification codes only
- Marketing templates: promotional content (requires separate opt-in)
3.4 Conversation Window (24-Hour Rule)
- Free-form text messages can only be sent within 24 hours of the end user's last message to you
- Outside the 24-hour window, only pre-approved template messages can be sent
- NotiFly enforces this rule at the API level
3.5 Prohibited Content
You must not use NotiFly to send:
- Spam or unsolicited bulk messages
- Misleading, deceptive, or fraudulent content
- Content that violates any applicable law or regulation
- Harassment, threats, or abusive content
- Content promoting illegal goods or services
- Messages impersonating another person or business
4. Abuse Prevention and Account Suspension
We actively monitor for abuse and may take the following actions:
- Warning: For first-time minor violations, we issue a warning with corrective guidance
- Rate limiting: Temporarily reduce your sending rate if unusual patterns are detected
- Suspension: Immediately suspend accounts involved in spam, fraud, or repeated violations
- Termination: Permanently terminate accounts that pose a risk to the platform or violate Meta's policies
Meta may also independently restrict or disable your WhatsApp Business Account. We are not responsible for actions taken by Meta on your account.
5. Credits and Billing
- Messages are charged in credits, purchased in advance via credit packages
- Credit pricing varies by message type (utility, authentication, marketing) and destination country
- Credits are consumed at the time of message submission, not delivery
- Failed messages due to invalid numbers or API errors are not charged
- Credits have an expiry period as stated at the time of purchase
- Unused expired credits are non-refundable
- Refunds are only issued for platform errors that result in incorrect billing
6. API Usage
- API access is provided via an API key unique to your account
- You must keep your API key confidential and not share it with unauthorized parties
- API rate limits apply per account (documented in your dashboard)
- We reserve the right to throttle or suspend API access in case of abuse or excessive load
- You must not attempt to reverse-engineer, scrape, or bypass platform security controls
7. Uptime and Support
- We aim to maintain high availability but do not guarantee uninterrupted service
- Scheduled maintenance will be communicated at least 24 hours in advance via email
- Support is available via email during business hours (Mon-Fri, 9 AM to 6 PM PKT)
- Enterprise clients with SLA agreements have separate support terms
8. Intellectual Property
- The NotiFly platform, including its code, design, and documentation, is the property of Datamatics
- You retain ownership of your message content and customer data
- We do not claim any rights over your data beyond what is needed to operate the Service
9. Limitation of Liability
- NotiFly is provided "as is" without warranties of any kind
- We are not liable for message delivery failures caused by Meta, network issues, or invalid recipient numbers
- Our total liability for any claim related to the Service shall not exceed the amount paid by you in the preceding 3 months
- We are not responsible for the content of messages sent by clients through the platform
10. Termination
- You may request account closure at any time by emailing support@datamatics.pk
- We may terminate your account for violation of these Terms or Meta's policies
- Upon termination, remaining credits are non-refundable
- Your data will be retained per our Privacy Policy retention schedule
11. Governing Law
These Terms are governed by the laws of Pakistan. Any disputes will be resolved through the courts of Lahore, Pakistan.
12. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email to active clients at least 14 days before taking effect. Continued use of the Service after changes constitutes acceptance.
